These Terms and Conditions of Use ("Terms") govern access to and use of the WarmOS application, web dashboard, related APIs, notifications, firmware update services, and connected hardware integrations made available through the WarmOS platform (together, the "Service").
The Service is provided by WarmOS ("WarmOS", "we", "us", or "our").
By creating an account, accepting these Terms, installing the app, logging in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms apply to the software and online service layer. Any installation, commissioning, or hardware warranty relating to connected products may also be subject to separate installation or warranty documents.
You must be at least 18 years old, or otherwise have legal authority to enter into these Terms on behalf of yourself or the organisation you represent.
You must provide accurate and complete account information and keep it up to date.
You are responsible for keeping your login credentials secure, all activity carried out through your account, ensuring invited users are authorised to access the relevant system, and promptly notifying us if you suspect unauthorised access or misuse.
We may require email verification, renewed acceptance of updated Terms, or additional account checks before allowing access.
Subject to these Terms, WarmOS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal personal or business use in connection with compatible systems and devices.
The Service is licensed, not sold. Except for the limited licence expressly granted above, no right, title, or interest in the Service is transferred to you.
WarmOS may enable you to create and manage user accounts, add and manage systems and connected devices, view live and historical energy, device, and system data, configure tariffs, device settings, and system preferences, create schedules and automation rules, start manual boosts and other supported remote commands, switch supported relays or outputs where available, receive status, overview, and fault notifications, and assign owner, admin, or guest access to other users.
You are responsible for ensuring that all hardware, wiring, plumbing, and connected equipment are installed, maintained, and operated safely and lawfully by suitably qualified persons where required; all schedules, boosts, relay changes, target temperatures, tariffs, labels, and permissions are correct for your installation and use case; any users you invite to a system have the level of access that you intend to grant them; and independent physical safety controls, isolation methods, and emergency procedures remain in place.
WarmOS is not intended to be used as an emergency system, life-safety system, medical device, or fail-safe control system. You must not rely on the Service as the sole means of protection against overheating, equipment failure, electrical faults, water damage, or any other hazardous condition.
You must not, and must not permit any third party to copy, reproduce, distribute, sell, lease, sublicense, or otherwise exploit the Service except as expressly permitted by us in writing; reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or data structures from the Service; modify, adapt, translate, or create derivative works of the Service; bypass, disable, interfere with, or undermine any authentication, security, permissions, rate-limiting, or technical protection measures; attempt to gain unauthorised access to any account, database, API, server, firmware channel, network, or system associated with the Service; introduce malware, malicious code, automated abuse, denial-of-service traffic, or any material intended to damage, disrupt, or monitor the Service without authorisation; use the Service in breach of any applicable law, regulation, export control, or third-party right; or use the Service in a way that could endanger people, property, equipment, or grid-connected systems.
Any penetration testing, vulnerability scanning, or security testing of our systems must have our prior written permission.
In providing the Service, we may collect and process information including account and contact details such as name, email address, and phone number where provided; system, device, schedule, tariff, notification, and configuration data; live and historical readings, diagnostics, firmware, and command history; IP address, browser or app information, device identifiers, and service logs; and approximate location or site-related information where supplied by you or available from the Service context.
You are responsible for ensuring that you have the necessary rights, notices, and permissions to provide any personal data or site data to us through the Service.
As between you and us, you retain any rights you may have in your personal data and site-specific information, subject to applicable law, and we retain all rights in the Service, its software, databases, platform structure, and any aggregated, anonymised, statistical, or operational outputs derived from use of the Service.
We may use aggregated and anonymised data to operate, maintain, secure, analyse, and improve the Service and related products.
If we publish a separate privacy notice or privacy policy, that document will also apply to the processing of personal data alongside these Terms.
The Service may display measurements, status indicators, savings figures, cost estimates, graphs, schedules, and other operational information. These outputs are provided for general information and operational convenience only.
You acknowledge and agree that readings and derived values may be delayed, incomplete, unavailable, or inaccurate; tariff and savings calculations depend on the inputs and assumptions configured by you and may not match supplier billing; command execution may depend on connectivity, firmware version, hardware state, permissions, safety logic, and third-party equipment; remote commands, relay changes, manual boosts, and schedules may not be applied immediately, may be interrupted, or may fail to apply; and you are solely responsible for assessing whether any command or schedule is appropriate and safe before enabling it.
WarmOS does not guarantee that the Service will prevent overheating, equipment damage, energy loss, or service interruption. Where the Service presents safety warnings or cut-out states, those warnings do not remove your obligation to inspect the physical system and confirm that it is safe.
WarmOS may send account, overview, fault, verification, and service-related notifications by email or other supported channels. Delivery is not guaranteed and may be delayed or prevented by factors outside our control.
We may release updates, patches, bug fixes, configuration changes, and new versions of the Service at any time. Connected devices and related firmware may also receive remote or automatic updates when connected.
You acknowledge that updates may change or remove features, declining or delaying updates may reduce compatibility, security, or functionality, and we are not obliged to continue supporting every version of the app, firmware, or connected hardware indefinitely.
We may suspend, restrict, or discontinue any part of the Service for maintenance, security, legal, operational, or commercial reasons.
All intellectual property rights in and to the Service, including software, code, designs, text, graphics, layouts, branding, databases, and documentation, are owned by or licensed to WarmOS.
You must not remove, obscure, or alter any copyright notice, trade mark, branding, or proprietary notice used in or with the Service.
We may suspend or terminate your access to all or part of the Service immediately if you breach these Terms, your use creates a security, safety, legal, or operational risk, we reasonably suspect fraud, misuse, or unauthorised activity, or we discontinue the Service or cease supporting the relevant product line.
You may stop using the Service at any time. Where account deletion functionality is offered, deletion may be subject to system ownership, role, or dependency checks within the Service.
On termination, your licence to use the Service ends immediately, you must stop using the Service, and we may retain records where reasonably required for legal, regulatory, security, audit, or evidential purposes.
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.
We do not warrant that the Service will be uninterrupted, error-free, secure, compatible with all equipment, or fit for your particular purpose. We do not guarantee that any reading, notification, estimate, or command outcome will be correct, complete, or timely.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive loss; we are not liable for loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of use, loss of data, or business interruption; we are not liable for loss or damage arising from inaccurate measurements, delayed data, failed notifications, failed commands, schedules, relay actions, tariff settings, firmware issues, internet outages, third-party equipment, or third-party services; and your use of the Service and any command or control of connected devices through the Service is at your own risk.
To the maximum extent permitted by law, WarmOS total aggregate liability arising out of or in connection with the Service and these Terms will be limited to the fullest extent permitted under applicable law.
This limitation also applies for the benefit of our group companies, officers, employees, agents, contractors, and subcontractors.
You will indemnify and keep indemnified WarmOS against losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, your unlawful use of the Service, your negligent, unsafe, or unauthorised use of connected systems or devices, or any claim brought by a third party arising from access you grant to that third party through the Service.
We may update these Terms from time to time. The latest version will be made available through the Service. Where appropriate, we may require renewed acceptance before continued use.
By continuing to use the Service after the updated Terms take effect, you agree to the revised Terms.
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer resident in another part of the United Kingdom, you may also have mandatory rights to bring proceedings in your local jurisdiction.
These Terms constitute the entire agreement between you and us regarding the Service, unless separate written terms expressly apply.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Any failure by us to enforce a provision of these Terms is not a waiver of that provision or of any other right.
